Welcome to Freelance Adda (“we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your access to and use of our platform, services, and website (collectively, the “Platform”), whether you are registering as a Freelancer offering services or an Employer posting projects.
By registering for an account or accessing any part of Freelance Adda, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, you must not use our Platform.
1. Eligibility
To use Freelance Adda, you must meet the following eligibility criteria:
1.1. You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher.
1.2. You must have the legal capacity to enter into binding contracts and agree to these Terms.
1.3. You must provide accurate, current, and complete information during registration and maintain the accuracy of your account information.
1.4. Users providing false, misleading, or fraudulent information may have their accounts suspended or permanently terminated.
1.5. By using the Platform, you represent that you are not prohibited from using the Platform under applicable laws, regulations, or sanctions.
2. Account Registration & Security
2.1. Account Types: Users may register as a Freelancer, an Employer, or both. Each account type has specific functionalities and obligations.
2.2. Account Credentials: You are responsible for keeping your account password, login credentials, and any other security measures confidential. Sharing your account credentials is strictly prohibited.
2.3. Unauthorised Access: You must notify us immediately if you suspect any unauthorised use of your account.
2.4. Responsibility for Activity: You are fully responsible for all activities performed under your account. Freelance Adda is not liable for losses arising from unauthorised access caused by your failure to safeguard your credentials.
2.5. Account Termination: Freelance Adda reserves the right to suspend or terminate accounts that breach security protocols, violate these Terms, or engage in fraudulent activity.
3. Platform Services
Freelance Adda is a platform designed to connect Employers with Freelancers for project-based work. We provide:
3.1. A job posting and bidding system allowing Employers to post projects and Freelancers to submit proposals.
3.2. Communication tools, including messaging systems and notifications, to facilitate interaction between Employers and Freelancers.
3.3. Payment processing services through third-party providers to ensure secure transactions.
3.4. Dispute resolution support, assisting users in resolving conflicts under the rules of the Platform.
3.5. Facilitation Role: Freelance Adda acts only as a facilitator. We are not a party to any contracts formed between Freelancers and Employers and do not guarantee the quality, legality, or timeliness of any work performed.
4. Project Posting & Proposals
4.1. Employers’ Responsibilities: Employers must provide accurate, detailed, and clear project descriptions, including deadlines, deliverables, and budget.
4.2. Freelancers’ Responsibilities: Freelancers must submit honest, relevant, and tailored proposals. Misrepresentation, spam, or irrelevant proposals may result in account suspension.
4.3. Project Removal: Freelance Adda reserves the right to remove projects that violate these Terms, our policies, or applicable laws.
4.4. Communication Conduct: All communication must remain professional. Harassment, abusive language, or threats may result in account suspension.
5. Payments & Fees
5.1. Payment Processing: All payments between Employers and Freelancers must be processed via Freelance Adda’s platform using approved methods.
5.2. Service Fees: Freelance Adda charges a service fee on all completed transactions. Fee details are available on our [Fees Page].
5.3. Escrow System: Employers deposit project funds into an escrow account before work commences. Funds are released to Freelancers upon project approval or upon completion of agreed milestones.
5.4. Delays & Liability: Freelance Adda is not responsible for payment delays caused by banks, financial institutions, or payment processors.
5.5. Refunds & Cancellations: Refunds are subject to our platform policies. Employers or Freelancers may initiate a refund request following project disputes or cancellations.
6. Dispute Resolution
6.1. Initiating a Dispute: If a Freelancer and Employer cannot resolve a disagreement, either party may open a dispute via the Platform.
6.2. Investigation Process: Our dispute resolution team will review all submitted evidence, including:
- Project details
- Communication records
- Payment receipts
- Work samples
6.3. Mediation & Decision: Freelance Adda may mediate and provide a binding determination. Users agree to comply with the final decision.
6.4. Additional Documentation: Freelance Adda may request supplementary information to resolve disputes efficiently.
7. Acceptable Use Policy
You agree not to use Freelance Adda to:
7.1. Post content that is illegal, harmful, defamatory, misleading, or infringes on the rights of others.
7.2. Engage in harassment, hate speech, or abusive behaviour.
7.3. Circumvent Freelance Adda’s payment system or attempt unauthorised financial transactions.
7.4. Share another user’s personal, confidential, or proprietary information without explicit consent.
7.5. Violation of this policy may result in temporary suspension or permanent account termination.
8. Intellectual Property
8.1. Ownership of Work: Freelancers retain ownership of their work until payment is received in full.
8.2. Transfer of Rights: Upon full payment, intellectual property rights are transferred to the Employer unless otherwise agreed in writing.
8.3. Prohibited Use: You may not copy, reproduce, distribute, or use another user’s work without permission.
8.4. Platform Content: All content, trademarks, and materials on Freelance Adda are the property of Freelance Adda and protected under intellectual property laws.
9. Limitation of Liability
Freelance Adda shall not be liable for:
9.1. The quality, timeliness, legality, or completeness of work performed by Freelancers.
9.2. Any financial losses, lost profits, or disputes between users.
9.3. Technical interruptions, downtime, or errors arising from network or platform issues.
9.4. Our total liability to you under these Terms is limited to the fees you have paid to Freelance Adda in the six months preceding the claim.
10. Termination of Account
10.1. By Freelance Adda: We may suspend or terminate accounts for:
- Violating these Terms
- Engaging in fraudulent, abusive, or illegal activity
- Repeated failure to comply with platform rules
10.2. By Users: You may close your account at any time by contacting [insert support email].
10.3. Effect of Termination: Upon account termination, all unpaid funds, pending disputes, and platform privileges may be forfeited in accordance with our policies.
11. Changes to the Terms
11.1. Freelance Adda may update these Terms periodically.
11.2. Users will be notified of material changes via email or platform notifications.
11.3. Continued use of the Platform after changes indicates acceptance of the updated Terms.
12. Governing Law
